SALEA GREEMENT cum MoU FOR OPERATION OF RESORTS

1. The land bearing Survey No. 3 and Survey No. 10 area 1.64 and 2.00 hectare respectively situated at Shyamnagar Village, Swaraj Dweep Island, under Port Blair Tehsil, South Andaman District have executed a Sale Agreement on 12th March 2021 and also executed a Power of Attorney in favour of the developer’s M/S NIDEJA PROPERTIES PVT LTD duly registered before Sub-Registrar, Mayabunder on 21st Decmber, 2021 and hereby Transfer/Sold the landed Property bearing Survey. No. 3 and Survey No. 10 total area 3.64 hectare situated at Shyamnagar Village, Swaraj Dweep (Havelock) Island, under Port Blair Tehsil, South Andaman District and handed over the peaceful physical possession to M/S NIDEJA PROPERTIES PVT LTD;

2. The VENDEE/INVESTOR has desirous to purchase the ___% share in the proposed Plot No. ___ area 250/320 square meters with ______ others as equal shareholders jointly of ___% share upon the above said plot No. ___ area 250/320 square meters under survey No. 10 out of area 2.00 hects. as defined in the schedule of property herein below and as delineated in the Layout of the above-mentioned landed Property, which is the part of this Agreement, for a total Sale consideration of Rs. ___________/- (Rupees _______only) from the vendor and the Vendor is also hereby agreed to sell the above share;

3. That on execution of this agreement the Vendee hereby paid a sum of Rs. _______/- (Rupees __________ only) towards part sale consideration vide cheque No. ______ of _____ Bank, ________ branch to the Vendor and the Vendor do hereby acknowledge the receipt having received the part sale consideration.

4. That the Vendor hereby declared that subject land is absolutely free from all encumbrances and the same is not subject to any attachments, charges, claims or interests of any third parties including any relatives or heirs of the vendor.

5. That the Vendor do hereby declare that he will complete the Transfer/Sale of the entire schedule property by the end of Sept 2022, subject to the realization of the remaining payment of Rs. _____/- (Rupees ______ only) which shall be made at the time execution of the sale deed to the Vendor by the vendee as full and final sale consideration.

6. That the Vendor hereby declare that the schedule of property will be developed in the manner which includes levelling, fencing and land escaping and thereafter to construct an Independent Villa with Private swimming pool.

7. That the Vendor hereby declare that Company shall take the Villa from the Vendee and his partners on 99 years Lease to operate the business by renting the Villa on daily basis in order to provide maximum rental income to the Vendee and his partners.

8. That the Vendor hereby declare that Company will market the Villa for the global customers to get maximum customers on daily basis and also take over the maintenance, management and marketing responsibilities on behalf of the recorded owners of the Villa.

9. That the Vendor hereby declare that Company will pursue to break even the investment maid by the vendee as early as possible and no other investment shall be asked to put into the Villa and the company shall charge 25% (Twenty five percent) as the professional and management charges of the sale of Villa on rent on daily basis, the 75% (seventy five percent) shall be distributed equally to the all-equal partners. After deducting the professional charges and applicable taxes payable to the government.

10. That the Vendor hereby declare that the Vendee shall be in liberty to handover, surrender or sell his share anytime as he desires to company shall be bound to buyback the respective share at its present market price.
